Terms of Use

These Terms of Use (“Terms”) govern access to and use of the dashboard at talvbase.com and the API at api.talvbase.com (together, the “Service”). By creating an account, integrating the API, or using the Service, you agree to these Terms.

1) The Service

  • The Service provides account management, subscription management, and the ability to upload PSD content and render PSDs.
  • Uploads and rendered outputs are stored in a secure AWS bucket.
  • Payments are handled by Paddle.

2) Accounts & Security

  • You must provide accurate information and maintain a secure password. You are responsible for activities under your account.
  • Use of the API requires valid credentials (API keys/tokens). Keep them confidential and rotate them if compromised.
  • We may suspend access for security, abuse, or non-payment.

3) Customer Content & License

“Customer Content” means PSD files, assets, metadata, and outputs you upload or generate through the Service.

  • You retain ownership of Customer Content. You grant Talv Capital OÜ a non-exclusive, worldwide license to host, process, and transmit Customer Content solely to provide and secure the Service.
  • You represent that you have the necessary rights to submit Customer Content and that it does not infringe third-party rights or violate law.
  • Do not upload unlawful, harmful, or abusive content; no malware or content designed to disrupt systems.

4) Acceptable Use

  • No reverse engineering, scraping at scale outside agreed limits, or circumventing technical controls.
  • No use to create deceptive listings or violate third-party intellectual property or privacy rights.
  • Respect rate limits and fair-use guidelines; excessive use may be throttled.

5) Payments, Billing & Taxes

  • Subscriptions are billed by Paddle; you authorize recurring charges until you cancel.
  • You are responsible for applicable taxes. Invoices/receipts are accessible via the dashboard or Stripe.
  • If a payment fails, we may suspend or limit access until resolved.

6) Refund Policy

  • Self-serve monthly plans: cancel anytime to stop future billing. Charges already incurred are generally non-refundable.
  • First-time subscriptions: if the Service materially fails to perform for you and we cannot remedy within 7 days of your support request, we may offer a good-faith prorated refund at our discretion (processed by Paddle).
  • Miscalculated/duplicate charges: contact support@talvbase.com within 14 days; we’ll investigate and correct when verified.
  • Local consumer rights (if applicable) are not affected.

7) Data Requests & Content Management

  • Export: you can export content via the dashboard/API.
  • Deletion: you can delete uploads/renders via the dashboard/API. After account termination, we aim to delete or anonymize remaining Customer Content within 90 days, subject to backups and legal holds.
  • Access requests (privacy): for personal data where we are controller (account/billing), email support@talvbase.com. For Customer Content where we act as processor, contact your organization (controller).
  • Law-enforcement requests: we only disclose data if legally required, after verifying the request’s validity and scope.

8) Security

  • TLS in transit; encrypted storage for uploads/renders at rest in AWS.
  • Role-based access; least-privilege; audit logs for access to Customer Content.
  • You are responsible for securing client secrets, API keys, and endpoint integrations.

9) Intellectual Property

  • The Service, software, and documentation are owned by Talv Capital OÜ or its licensors.
  • We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.
  • Feedback may be used to improve the Service without restriction.

10) Term, Suspension & Termination

  • These Terms apply while you access the Service. You may cancel at any time via the dashboard.
  • We may suspend or terminate for breach, security risk, or non-payment, with notice where reasonable.
  • Upon termination: your access ends; your obligation to pay accrued fees remains; data handling follows Section 7.

11) Warranties & Disclaimers

The Service is provided “as is.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

12) Limitation of Liability

To the maximum extent permitted by law, Talv Capital OÜ and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the amounts paid by you to us for the 6 months preceding the event giving rise to liability.

13) Indemnity

You will defend and indemnify Talv Capital OÜ against third-party claims arising from (a) your Customer Content, (b) your use of the Service in violation of law or these Terms, or (c) infringement caused by materials you provide.

14) Privacy

Your use of the Service is also governed by our Privacy Policy. Where we process personal data as processor, a DPA is available on request.

15) Changes to the Service or Terms

We may update the Service and these Terms. Material changes will be notified via the dashboard or email. Continued use after changes means you accept the updated Terms.

16) Governing Law & Venue

These Terms are governed by the laws of Estonia, without regard to conflict-of-laws rules. Courts located in Estonia will have exclusive jurisdiction, except that mandatory consumer rights (if applicable) remain unaffected.
